End-User License Agreement (EULA)
TERMS OF SERVICE

Introduction
Welcome to MlsImport.com.
This End-User License Agreement (“EULA”) is a legal agreement between you and mlsimport.com.
This EULA agreement governs your acquisition and use of our mlsimport.com software (“Software”) directly from mlsimport.com.
Please read this EULA agreement carefully before completing the installation process and using the MLSImport.com software. It provides a license to use the MLSImport.com software (plugin or turnkey website solution) and contains warranty information and liability disclaimers.
This EULA agreement must be accepted by the direct owner of the MLS account that will be used under MLSImport.com software. The owner of the MLSImport account must be the same person as the real estate agent or broker who will provide the MLS Web API credentials in MLSImport account settings and who will import the MLS data on his website.
By selecting “accept terms and conditions” in your MLSImport order , you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are a company or other legal entity that has not a direct connection to the MLS account that will be used under MLSImport.com software, do not install or use the software, and you must not accept this EULA agreement.
This EULA agreement shall apply only to the software supplied by MLSImport.com herewith regardless of whether other software is referred to or described herein. The terms also apply to any MLSImport.com updates, supplements, Internet-based services, and support services for the software, unless other terms accompany those items on delivery. If so, those terms apply.
License Grant
MLSImport.com hereby grants you a personal, non-transferable, non-exclusive license to use the MLSImport.com software on your one single domain following the terms of this EULA agreement.
You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the software nor permit the whole or any part of the software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the software or attempt to do any such things
- Reproduce, copy, distribute, resell or otherwise use the software for any commercial purpose
- Allow any third party to use the software on behalf of or for the benefit of any third party
- Use the software in any way which breaches any applicable local, national or international law
- Use the software for any purpose that MLSImport.com considers is a breach of this EULA agreement
Intellectual Property and Ownership
MLSImport.com shall at all times retain ownership of the software as originally downloaded and all subsequent installations of the software. The software (and the copyright, and other intellectual property rights of whatever nature in the software, including any modifications made to it) are and shall remain the property of MLSImport.com
MLSImport.com reserves the right to grant licenses to use the software to third parties
Termination
Term. This Agreement shall commence on the Effective Date, shall continue in full force and effect for one (1) month and shall be automatically renewed after that for successive periods unless written notice of intent not to renew is received by either Party at least thirty (30) days before the commencement of any subsequent Term.
Either Licensee or MLSImport.com may terminate this Agreement:
i) in the event of material default or breach any term, condition or covenant contained in this Agreement by the other Party which is not cured within thirty (30) calendar days after written notice of the default or breach;
(ii) immediately upon written notice if the other Party files or is the subject of a bankruptcy case, makes an assignment for the benefit of creditors, becomes insolvent, is generally unable to pay its debts as they become due, or has a receiver, trustee, or conservator appointed for any substantial part of its assets or properties;
(iii) immediately upon notice of an MLS® violation; or, (iv) without cause upon thirty (30) days written notice. The licensee shall forfeit any fees paid in advance if the Licensee terminates this Agreement before the expiration of the Term.
Governing Law
This EULA agreement and any dispute arising out of or in connection with this EULA agreement shall be governed and construed in accordance with the laws of Romania and the European Union without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.
MLS DATA
MLS Import does not directly share MLS data from its servers. The data is transferred from the MLS server to the client’s website via the MLS Server API using the account owner’s MLS API connection details. MLS Import facilitates data formatting through its coding, ensuring it is compatible with WordPress and the theme installed on the account owner’s website. All regulations and imposed by MLS to their members to use MLS data apply to the owner of the API connection details, which in this case is the MLS member (who is also the subscriber who uses MLSImport subscription and plugin).
Online Privacy Policy Agreement
MLSImport.com values its users’ privacy. This Privacy Policy (“Policy”) will help you understand how we collect and use personal information from those who visit our website or make use of our online facilities and services, and what we will and will not do with the information we collect.
